Terms of Service

1. Agreement

1.1 These Terms of Service ("Terms") govern your access to and use of the Minloq platform and services ("Service"), operated by Minloq Pte. Ltd. (UEN 202615062H) ("Minloq", "we", "us").

1.2 By accepting these Terms at onboarding or by using the Service, you agree to them. If you accept on behalf of an organisation, you confirm you are authorised to bind that organisation, and "you" refers to that organisation.

2. The Service

2.1 Minloq provides an AI-assisted platform for Singapore businesses and accounting firms. The services available to you are those active on your plan, which may include bookkeeping, GST, corporate-secretarial, payroll and financial-statement workflows. Features not yet released are identified as such.

2.2 AI assistance and human review. The Service uses automated extraction and AI to assist with data capture and preparation. Its outputs are drafts that require your review and approval. The Service is a tool; it is not a substitute for a qualified accountant, tax agent, or corporate secretary, and Minloq does not thereby provide accounting, tax, audit, legal or secretarial advice. You and your professional advisers remain responsible for the accuracy of your records and for any regulatory filing or submission.

3. Acceptable use

3.1 You will use the Service only for lawful purposes and only for data you are authorised to submit. You will not attempt to access other customers' data, disrupt the Service, or reverse-engineer it except to the extent permitted by law.

4. Fees, billing and fair use

4.1 The Service is provided on a subscription basis. Fees, billing cycle and any trial are as presented at signup and are processed through our payment provider.

4.2 Grandfathering. We do not increase the price of a plan for an existing customer during a committed pricing period; pricing changes apply to new signups.

4.3 Plan limits and fair use. Each plan carries limits as published on our pricing page, including the number of client entities you may manage. The Service is also subject to operational safeguards that cap abnormal usage volumes to protect platform stability. Where a feature (for example, InvoiceNow e-invoicing, when enabled) is offered on a fair-use basis, we may contact you to discuss an appropriate plan if your usage materially exceeds typical levels.

5. Third-party services

5.1 The Service may integrate with or rely on third-party services (for example, messaging and payment providers). Those services are governed by their own terms and privacy policies, and Minloq is not responsible for them.

5.2 Where you choose to connect an optional third-party integration, you authorise the resulting data exchange and remain subject to that provider's terms.

6. Data protection

6.1 Our handling of personal data is governed by our Privacy Policy and, for personal data we process on your behalf, our Data Processing Agreement, which are incorporated into these Terms.

7. Intellectual property

7.1 Minloq retains all intellectual property rights in the Service. You retain all rights in the data and documents you submit, and you grant Minloq the limited rights necessary to process that data to provide the Service.

8. Disclaimers

8.1 To the maximum extent permitted by law, the Service is provided "as is". Automated and AI-assisted outputs may contain errors and must be reviewed before reliance. Minloq does not warrant that the Service will be uninterrupted or error-free.

9. Liability

9.1 To the maximum extent permitted by Singapore law, Minloq's total aggregate liability arising out of or in connection with these Terms or the Service is limited to the total fees you paid to Minloq in the twelve (12) months preceding the event giving rise to the claim.

9.2 To the maximum extent permitted by law, Minloq is not liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill or data.

9.3 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Singapore law, including liability for fraud, fraudulent misrepresentation, wilful misconduct, or death or personal injury caused by negligence.

10. Suspension and termination

10.1 Either party may terminate in accordance with the subscription arrangement.

10.2 Minloq may suspend or restrict access to the Service for non-payment, for breach of these Terms, or where reasonably necessary to address a security risk, giving notice where practicable.

10.3 On termination, your data is handled as set out in the Data Processing Agreement (export made available, then deletion or return within 30 days, subject to retention required by law).

11. Changes to these Terms

11.1 We may update these Terms from time to time. The current version is the one posted on this page, with its effective date. Continued use of the Service after a change constitutes acceptance of the updated Terms.

12. Severability

12.1 If any provision of these Terms is held to be invalid or unenforceable, that provision is severed to the minimum extent necessary and the remaining provisions continue in full force and effect.

13. Governing law

13.1 These Terms are governed by the laws of Singapore, and the parties submit to the non-exclusive jurisdiction of the Singapore courts.
